Indspire is seeking a newly added Corporate Secretary to report directly to the CEO. This key governance role ensures the organization meets its legal, regulatory, and charitable obligations as a Canadian non-profit, while incorporating Indigenous perspectives into decision-making.
 
The Corporate Secretary acts as a trusted advisor, supporting culturally grounded governance, transparent decision-making, and organizational accountability. The role provides executive-level board support to the CEO, enabling effective leadership and strategic oversight across the organization.
 
Key Responsibilities
In this role, you’ll be:
 
Governance, Compliance & Fiduciary Oversight
  • Ensuring compliance with federal, provincial, and Indigenous governance legislation and regulations.
  • Maintaining corporate records, including bylaws, policies, statutory registers, and governance protocols that reflect Indigenous laws, traditions, and community accountability.
  • Advising the CEO and Board on governance best practices, fiduciary duties, ethical obligations, and culturally appropriate decision-making.
  • Monitoring changes in legislation, regulatory requirements, and Indigenous governance frameworks; recommending necessary actions to the CEO and Board.
  • Supporting the Board and CEO in implementing governance policies aligned with community accountability and Indigenous decision-making practices.
  • Coordinating governance reviews, policy refresh cycles, and Board evaluations.
 
CEO Advisory & Strategic Support
  • Providing senior advisory support to the CEO on governance strategy, Board relations, and organizational accountability.
  • Supporting preparation for Board presentations, annual general meetings, and regulatory filings.
  • Serving as a trusted sounding board on governance-related risks, statutory obligations, and community considerations.
  • Coordinating governance aspects of strategic initiatives, partnerships, and funding agreements.
 
Executive Governance & Operational Continuity
  • Ensuring continuity of governance and Board support in the temporary absence of the Executive Assistant to the CEO, focusing on Board, compliance, or statutory matters.
  • Coordinating critical communications, escalating time-sensitive issues, and maintaining alignment with organizational priorities during transitions.
  • Maintaining confidentiality and upholding operational and governance integrity.
 
Stakeholder & Community Accountability
  • Acting as a liaison between the CEO, Board, Elders, knowledge keepers, staff, and community stakeholders.
  • Ensuring governance and administrative processes are culturally respectful, transparent, and responsive to the needs of First Nations, Métis, and Inuit communities.
  • Supporting the CEO in fostering accountability, trust, and positive relationships within the Board.
 
Corporate & Legal Administration
  • Liaising with external legal counsel, auditors, regulators, and funding agencies.
  • Overseeing subsidiary governance and related corporate filings.
  • Maintaining official corporate records, seals, and reporting systems.
  • Ensuring governance compliance across partnerships and affiliated entities.
 
Qualifications

  • Bachelor’s degree in law, business administration, public administration, governance, or a related field.
  • Minimum of 7 years of progressive experience in corporate secretarial, governance, or senior administrative roles, ideally within Indigenous, not-for-profit, or community sectors.
  • Proven experience supporting Boards and senior executives in regulatory, charitable, and governance matters.
  • Experience managing complex board and committee schedules, confidential correspondence, and administrative priorities.
  • Familiarity with Indigenous laws, traditions, and community consultation practices is an asset.
  • Knowledge of Canadian not-for-profit governance and compliance requirements.
  • Understanding of First Nations, Métis, and Inuit governance principles and community accountability.
  • Strong organizational, prioritization, and problem-solving skills, with the ability to manage competing demands.
  • Excellent written and verbal communication skills.
  • High integrity, discretion, and sound judgment in both statutory and cultural contexts.
  • Ability to work collaboratively with the CEO, Board, Elders, knowledge keepers, leadership, and community representatives.
  • Commitment to reconciliation, Indigenous self-determination, and culturally grounded governance practices.
  • Strong interpersonal skills and a team player who takes initiative.
  • Proficiency in MS office suite.
  • Must be able to work occasional evenings and weekends and engage in possible travel.
